Notice: 2019 Sustainable St Albans AGM
Date and time: 7.00pm for 7.30, Thursday 19 September
Venue: Abbey Theatre, in the club room,
Westminster Lodge, Holywell Hill, St Albans AL1 2DL
Come and join us for an evening of conversation, networking, speakers and refreshments – we’d love to see you! Refreshments available from 7pm.
Sustainable St Albans, a Charitable Incorporated Organisation, with registered number 1173118, is holding its second AGM.
Sustainable St Albans (the charity) is the successor organisation to Transition St Albans (TSA, or the association). TSA continues to exist alongside the charity, with TSA winding down and completing its activities and the charity taking responsibility only for activities that have commenced in their entirety since January 2018. The year to 31 March 2019 is therefore the first full year of activity for the charity.
Those of the founding trustees of the charity that remain were previously and are still the “steering group” of the association. The steering group has the authority and intention to dissolve TSA as soon as is reasonably possible. Any residual assets will be transferred to the charity, but, for practical purposes, TSA funds continue to be applied to activities that take place during this period of parallel existence.
The TSA AGM will be held immediately before the Sustainable St Albans AGM; the Sustainable St Albans AGM will comprise the main purpose of the evening.
- Review of the year
This will address the period since our last AGM, in September 2018.
- Presentation of the accounts
Copies of the accounts will be made available in the governance section of our website at https://sustainablestalbans.org/agm/ as soon as possible.
- Trustee re-elections
Under the charity’s constitution, one third of the trustees (to the nearest whole number) must stand for re-election each year.
- A resolution will be proposed that Daniel Fletcher be re-elected as a Trustee
- A resolution will be proposed that Gail Jackson be re-elected as a Trustee
There will be a talk on sustainable buildings, and in particular on the principles and practicalities of Passivhaus buildings for domestic and public use.
Appointment of proxies
A member of Sustainable St Albans may appoint a proxy to attend the AGM and to cast their votes on the above resolutions or on any proposal to adjourn the meeting. A member wishing to appoint a proxy may do so by completing and returning the Proxy notice 2019 AGM here .
Full instructions on the appointment of a proxy are given on the notice; completed proxy notices must be returned to the trustees before 5pm on 18 September to be valid.
We are holding the first AGM for Sustainable St Albans at 7:30pm on 12 September at Marlborough Road Methodist Church Hall, St Albans AL1 3AQ. The Sustainable St Albans charity was formed from a community group, Transition St Albans (TSA). Although TSA is no longer active, its constitution requires us to hold an AGM until it is fully wound up, and this will also take place on 12 September immediately before the Sustainable St Albans AGM.
